Terms of Use

These terms cover your use of thenoir.co.uk and set out the general basis on which The Noir ("we", "us"), an independent web design studio based in the West Midlands, UK, offers its services. By using this site you agree to these terms. Individual client projects are governed by a separate written project agreement, which takes precedence for that work.

The estimator

Figures produced by the on-site estimator are indicative ranges, not quotes or offers. A binding fixed quote is only formed once we've discussed your project and confirmed it in writing. Once a fixed quote is agreed, it's covered by our fixed-quote guarantee: the price we agree is the price you pay, and we absorb development overruns within the agreed scope.

The free diagnostic

The site audit tool runs live tests through Google's PageSpeed Insights or, where a live test can't run, shows a clearly labelled sample report with illustrative figures. Results are provided as-is, for general information: performance scores vary between runs, devices, and network conditions, and no diagnostic result constitutes advice, a valuation, or a guarantee about any website. Don't make significant decisions on a single automated score — that's exactly what the follow-up call is for.

The Noir-Code Warranty

Client projects include the commitments published in our warranty: no-charge bug fixing within the agreed project scope for the lifetime of that scope, a 30-day architectural support window after launch, and the fixed-quote guarantee described above. The precise scope covered is defined in each project agreement.

Payment

Projects are payable either as a fixed quote or, where offered, by monthly subscription with a 12-month minimum term as described at the point of sale. Deposits and payment schedules are confirmed in the project agreement. Until final payment is received, delivered work remains our property; on final payment, ownership of the delivered site files transfers to you in full.

Ownership and intellectual property

• Your site: on completion and full payment, you own the delivered files outright — hosting and domains sit in your own accounts, and you're free to take the work anywhere.
• Our site: the content, design, and code of thenoir.co.uk are our property and may not be copied or reused without permission.
• Portfolio: we may display completed client work in our portfolio unless agreed otherwise in the project agreement.

The client portal

The Client Portal is provided as a convenience tool for project visibility. Access is gated by a project access code for ease of use; this is not a secure authentication system, and the portal is not intended for, and will not be used to hold, sensitive or personal data. We commit that the activity feed will contain project and milestone information only — never personal data, financial details, or confidential documents; materials of that nature are exchanged by email or another agreed secure channel. The portal is a companion view, not the system of record: formal deliverables, approvals, and notices are always communicated directly. We may update, maintain, or modify the portal tooling at our discretion, provided project visibility is maintained during the build. Post-launch access to the portal's operations view is a benefit of the Priority Care plan; clients who conclude at launch receive a final export of their project record.

Acceptable use

Don't misuse this site: no attempts to probe, disrupt, or gain unauthorised access to it, no scraping at scale, and no use of the diagnostic tool against websites you have no lawful reason to test.

Liability

Nothing in these terms limits liability that cannot be limited by law. Otherwise, this website and its tools are provided "as is", and our total liability arising from use of the site, or from services under a project agreement, is limited to the fees actually paid to us for the relevant work. We're not liable for indirect or consequential losses, or for the acts of third-party platforms we link to (such as WhatsApp, Google, or Cal.com).

Changes and governing law

We may update these terms from time to time; the date above shows the current version. These terms, and any dispute arising from use of this site, are governed by the law of England & Wales, and the courts of England & Wales have jurisdiction.
